Versalist Vanguard Program - Terms and Conditions (India)

Welcome to the Versalist Vanguard Program (the "Program") offered by Social Protocol Labs LLC ("Versalist," "we," "us," or "our"), the entity behind versalist.com. These Terms and Conditions ("Terms") govern your application to and participation in the Program as a campus ambassador ("Vanguard," "Ambassador," "you," or "your") in India.
By submitting an application to the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms, our general Terms of Service, and our Privacy Policy, all of which are incorporated herein by reference. If you do not agree with these Terms, please do not apply for or participate in the Program.
1. Program Overview and Eligibility
1.1. Purpose: The Program aims to identify and empower student leaders at engineering colleges across India to promote Versalist, foster a community of AI innovators, and provide valuable feedback.
1.2. Eligibility: To be eligible for the Program, you must:
- Be enrolled as a full-time 3rd or 4th-year undergraduate student in an engineering discipline at an accredited college/university in India for the entire duration of the Program cohort (e.g., August 2025 – January 2026).
- Possess valid identification as required by Indian law and your educational institution.
- Be at least 18 years of age at the time of application.
- Have a strong academic record and demonstrate leadership potential through involvement in college clubs, technical societies, hackathons, or similar extracurricular activities.
- Possess excellent communication, interpersonal, and organizational skills.
- Have reliable internet access and a suitable device for online participation and content creation.
- Not be an employee, intern, or immediate family member of an employee of Social Protocol Labs LLC or its affiliates.
- Agree to abide by these Terms and the Versalist Code of Conduct.
2. Application and Selection Process
2.1. Application: You must complete the official online application form and submit all required materials, including a pitch video, by the specified deadline. All information provided must be truthful and accurate.
2.2. Selection: Selection is competitive and based on criteria including, but not limited to, leadership experience, communication skills, network reach, alignment with Versalist's values, and the quality of your application and pitch video. The selection process may involve screening and interviews. All selection decisions by Versalist are final and at our sole discretion.
2.3. No Guarantee of Selection: Submission of an application does not guarantee selection for the Program.
3. Ambassador Role and Responsibilities
As a Versalist Vanguard, you are expected to actively fulfill the responsibilities outlined in the Program Overview, which include (but are not limited to):
- Hosting on-campus workshops and tech demos for Versalist.
- Referring peers to sign up for Versalist and achieving specified sign-up targets.
- Creating and publishing content (e.g., blog posts, social media stories, video tutorials) promoting Versalist and its use cases.
- Collecting user feedback and submitting regular Campus Insight Reports.
- Building and managing a campus-specific online community (e.g., Discord channel).
- Recruiting and mentoring junior mini-ambassadors, if applicable.
- Representing Versalist professionally at campus events, hackathons, and fests.
- Adhering to Versalist's brand guidelines and Code of Conduct.
4. Term and Termination
4.1. Term: The Program will run for a specified cohort duration (e.g., 6 months, from August 2025 to January 2026). Your participation is for this term, unless terminated earlier.
4.2. Termination by Versalist: We reserve the right to terminate your participation in the Program at any time, with or without cause, including but not limited to:
- Breach of these Terms or the Versalist Code of Conduct.
- Failure to meet Program responsibilities or performance targets.
- Misrepresentation or fraudulent activity.
- Conduct that harms Versalist's reputation.
4.3. Termination by You: You may withdraw from the Program by providing written notice to Versalist. However, early withdrawal may affect your eligibility for certain incentives or completion certificates.
4.4. Effect of Termination: Upon termination, your status as a Vanguard will cease, and you will no longer be eligible for Program incentives from the date of termination, except for any accrued and payable referral bonuses earned up to that point, subject to verification. You must return any Versalist property or confidential information.
5. Incentives and Compensation
5.1. Details: Incentives, including referral bonuses, performance milestone rewards, career advancement opportunities, skill credentialing, community perks, and swag, are as described in the Program Overview document or as otherwise communicated by Versalist.
5.2. Conditions: All incentives are subject to your active participation, fulfillment of responsibilities, and compliance with these Terms.
- Referral bonuses are typically paid for new users who complete an approved onboarding checklist, as defined by Versalist. Versalist reserves the right to determine the validity of sign-ups.
- Performance milestones are subject to verification by Versalist. Equivalent gadgets for milestones may be offered based on availability and at Versalist's discretion.
- Internship opportunities are not guaranteed for all Vanguards and are subject to Versalist's internal hiring processes and needs. Selection for internships is at Versalist's sole discretion based on performance and other factors.
- Certificates are awarded upon successful completion of Program requirements.
- The "Vanguard Summit" is typically for top-performing Vanguards, and selection is at Versalist's discretion. Travel and accommodation details will be provided to selected individuals.
5.3. Payments and Taxation (India Specific):
- All monetary incentives (e.g., referral bonuses, Amazon vouchers if monetary equivalent) will be paid in Indian Rupees (INR).
- Payments will be made via bank transfer or other mutually agreed-upon methods, subject to you providing necessary bank account details and Permanent Account Number (PAN).
- You are solely responsible for all applicable taxes on any income or benefits received from the Program, including but not limited to income tax, Goods and Services Tax (GST) if applicable to your services as an ambassador, and any other local levies. Versalist may deduct Tax Deducted at Source (TDS) as required under Indian income tax laws and provide you with a TDS certificate.
- You agree to provide any information or documentation requested by Versalist for taxation or compliance purposes.
5.4. No Employment Relationship: Your participation in the Program does not create an employer-employee, partnership, agency, or joint venture relationship between you and Social Protocol Labs LLC. You are an independent participant. You are not authorized to bind Versalist to any contract or obligation.
6. Intellectual Property
6.1. Versalist IP: All intellectual property rights related to Versalist, its platform, brand, logos, and any materials provided to you (including "Resource Hub" content) remain the sole property of Social Protocol Labs LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use Versalist's brand assets solely for the purpose of fulfilling your responsibilities under the Program and in accordance with our brand guidelines.
6.2. Content Created by You:
- Feedback: Any feedback, suggestions, or insights you provide to Versalist regarding its products or services (e.g., through "Campus Insight Reports") will be owned by Versalist. You assign all rights to such feedback to Versalist.
- Promotional Content: For content you create specifically to promote Versalist as part of your responsibilities (e.g., "Versalist Stories," blog posts, YouTube tutorials), you retain ownership of your original content. However, you grant Versalist a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, distribute, modify, display, and perform such content in connection with promoting Versalist and the Program. You represent and warrant that you have the right to grant this license and that your content does not infringe on any third-party rights.
- Other Content: Content you create for your own portfolio or unrelated to direct Program responsibilities remains your own.
7. Confidentiality
You may receive access to non-public information about Versalist, its products, or future plans ("Confidential Information"). You agree to keep such Confidential Information secret and not disclose it to any third party without Versalist's prior written consent, both during and after your participation in the Program. This obligation does not apply to information that is publicly known or becomes publicly known through no fault of yours.
8. Data Privacy
Your participation in the Program is subject to Versalist's Privacy Policy. By applying, you consent to the collection, use, and sharing of your personal information as described therein, and as necessary for the administration of the Program (including sharing your name and college with other participants or publicly for recognition if you are selected or achieve milestones).
You are responsible for complying with all applicable data privacy laws, including the Digital Personal Data Protection Act, 2023 (India), when collecting any feedback or information from peers as part of your Program responsibilities.
9. Code of Conduct
You agree to conduct yourself in a professional, ethical, and respectful manner at all times when representing Versalist. You will adhere to Versalist's Code of Conduct (to be provided upon selection) and any specific guidelines for events or online interactions. Harassment, discrimination, or any illegal or unethical behavior will not be tolerated and may lead to immediate termination from the Program.
10. Limitation of Liability
To the fullest extent permitted by Indian law, Social Protocol Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Program; (b) any conduct or content of any third party on the Program; or (c) unauthorized access, use, or alteration of your content.
Our total liability to you for all claims arising out of or relating to these Terms or the Program, whether in contract, tort, or otherwise, is limited to the total amount of monetary incentives actually paid to you by Versalist under the Program.
11. Indemnification
You agree to indemnify, defend, and hold harmless Social Protocol Labs LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (a) violation of these Terms, (b) misuse of the Program, or (c) violation of any law or the rights of a third party.
12. Modification of Terms
Versalist reserves the right to modify these Terms at any time. We will provide notice of material changes, for example, by posting the revised Terms on our website and updating the "Last Updated" date. Your continued participation in the Program after such changes constitutes your acceptance of the new Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.

14. Miscellaneous
14.1. Entire Agreement: These Terms, along with the Versalist Terms of Service and Privacy Policy, constitute the entire agreement between you and Social Protocol Labs LLC regarding the Program.
14.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Versalist may assign its rights and obligations under these Terms freely.
